She has over 13 years’ experience in advising international and domestic clients on diverse matters, with specific focus on information technology and enabled services, emerging technologies, outsourcing, supply chain, FMCG, automobiles, healthcare and life sciences, heavy manufacturing, and social impact sectors.

She has worked closely with clients on the evolving aspects of data protection and privacy rights, with specific focus on EU, American, and Asian landscape, helping them create robust organizational data management and lifecycle processes.  She frequently engages in policy discussions, publications, public speaking, and advocacy exercises. With a firm belief in pro-bono services, Arya frequently advises tech4good charities and social organisations to scale their impact journeys and enabling reach of technology to the last mile.

• Advised various foreign companies like Artelia Holdings SAS, Rovema GmbH, Quest Diagnostics, and Ashland on India entry and exit strategies, corporate structuring, strategic acquisitions, business transfers, asset purchases, inbound and outbound investments, and exit strategies.

• Advised several MNCs and Indian companies on various corporate and commercial matters such as buy-back of securities, related party transactions, corporate governance, inter-corporate loans and investments, matters concerning the board of directors, infusion of share capital, reduction of share capital, corporate secretarial, commercial contracting, commercial disputes strategy, etc.
• Advised various trusts, societies, and non-profit organizations on their activity structuring, taxation impact on operations, governance, FCRA-related obligations, compounding of offences thereunder, domestic funding, borrowings, and operational issues.
• Undertaking company due diligences, drafting company policies, all kinds of commercial contracts including escrow agreements, master supply agreements, assignment deeds, employment agreements, settlement deeds, trust deeds, distribution agreements; and transaction documents such as shareholders, share purchase, joint venture, investment agreements, key managerial contracts, and closing documents for various clients including corporate secretarial documents.

Technology

• Advised India’s leading crowdfunding platform Give.do on group restructuring, technology acquisition, and subsequent integration-related aspects.
• Advised a Swiss aviation IT service provider on CUTE, CUSS, BRS, IFMC license, other technology product and service licensing contracts, and data processing laws in India.
• Provided end-to-end support to global healthcare company in setting up a global information center in India as an SEZ unit and advised on different aspects of health data processing.
• Advisory on validation of products and services for a various ERP solutions provider as well as provided counsel on software licensing, technology sharing, outsourcing, development of applications, and technology transfer.
• Advising and representing clients on IT Act, intermediary guidelines, reasonable security practice rules, advertising guidelines, security and data breach incidents, counselling on compliances, and representing them before CERT-IN.

Data Privacy

• Advised international and domestic clients engaged in different sectors such as healthcare, insurance, technology and media, e-commerce, and SaaS providers on comparative laws around data protection (including EU, Hong Kong, Singapore, Australia, and India), informational privacy, data audits, data mapping, gap assessment, privacy impact assessments, transfer impact assessments for cross-border data transfer, data breach management, and risk mitigation.
• Advised several telehealth and telemedicine companies on operations, compliances, and data protection processes and policies concerning the transition from physical to electronic health records.
• Advised various Tech4Good and social impact organizations on processing of beneficiary data, cyber-security, and related aspects.
• Conducted training sessions for various companies on data processing cycle, data subject rights, breach mitigation and reporting, and information security measures.
• Advised domestic and international clients on the processing of personal data for forensic investigations.
