Jay Parikh

His core practice area is Corporate Finance & M&A that involves structuring, negotiating and documenting financing transactions at all business stages, including seed, angel, venture capital, bridge, convertible, debt, private placements, public offerings and strategic M&As/JVs, including those involving stressed assets. Jay also advises Private Equity funds on investment transactions including those involving listed companies.

Jay has been a Partner with two other Indian Law Firms and was a founder-partner of Verus where he was a Co-head of the corporate advisory & transactions practice. He started his career at (the erstwhile) Amarchand & Mangaldas & Suresh A. Shroff & Co.

Mergers & Acquisitions:

• Advising Adani Group on its proposed exit from Adani Wilmar Ltd.
• Advised Adani Wilmar Ltd. on its acquisition of G D Foods, a prominent food FMCG player in North India.
• Advised Roop Auto and its promoters on its acquisition by Carlyle group to create an auto-parts platform alongwith Highway Industries.

Private Equity & Venture Capital:

• Advised Neev Funds I & II on their investments in Leap India Food and Logistics, Punjab Renewables Energy Systems, Chakr Innovation, Blue Planet, Hygenco etc., as well as on several exits.

Joint Ventures / General Corporate:

• Advised RATH AG on its joint venture with the Raju family in the refractory business.
• SWAMIH Fund on its day-to-day corporate matters including on their fund documentation, structuring advisory and compliance matters from time to time.
• Advised a leading Japanese conglomerate on its anticipated shareholder dispute with a leading Indian business group pertaining to their Indian joint venture.

Banking & Finance:

• Advised SBI on the non-fund based facilities availed by Gujarat State Petroleum Corporation Ltd.
• Advised a consortium of lenders led by State Bank of India in their financing to Nagpur Mumbai Super Communication Expressway Limited for funding construction and development of the Maharashtra Samruddhi Mahamarg. This remains one of the largest project finance transactions in India where a funding of Rs. 280,000 mn has been sanctioned and financial closure achieved in record time.

Insolvency & Corporate Restructurings / Debt Resolution:

• Advised UVARCL in its resolution of debts of Reliance Communications Ltd. and Reliance Telecom Ltd. as part of their respective corporate insolvency resolution processes. Debt resolved is INR 820,000mn and INR 420,000 mn approx., respectively. This deal remains subject to NCLT and other approvals.
• Advised Reliance Capital (and certain affiliates) on its proposed debt and business restructuring exercise.
