Kota Chandan

Chandan has approximately 16 years of experience and is part of the firm’s general corporate practice group. Chandan focuses on private equity and M&A transactions in the real estate, infrastructure, pharmaceuticals and healthcare sectors.

Chandan has represented private equity sponsors, including the Blackstone Group, Hillhouse Investment, Temasek, Keppel and Morgan Stanley in a wide range of joint venture, minority and control transactions. Chandan also has significant experience advising Indian corporations, having represented NDR Warehousing, Gland Pharma, Sai Life Sciences, Laurus Labs, Sattva Group, Sobha Developers and Prestige Group in numerous financial sponsor investments and M&A transactions.

Relevant Experience

Advised Blackstone Group on multiple investment matters.
Advised Hillhouse Investment on its 100% acquisition of Good Host Spaces from Warburg Pincus and Goldman Sachs. This was the largest private equity deal in India’s student housing sub-sector. Following this, we have advised Hillhouse Investment on several follow-on acquisitions of student housing assets through the Good Host Spaces platform.
NDR Group: In relation to: divestment of stake in Continental Warehousing to DP World Group; multiple investments into NDR Warehousing, including by Investcorp; restructuring of assets and creation of a platform for undertaking an InvIT listing of the NDR InvIT Trust, which was the first standalone warehousing InvIT in India.
Advised Nexus Select Trust on several acquisitions, including a mixed-use retail and hotel complex in Ludhiana from the MBD Group.
Advised Ventive Hospitality Private Limited (a 50-50 joint venture of Blackstone Group and Panchshil Realty) on restructuring and consolidating hospitality assets across India, Sri Lanka and Maldives prior to listing.
Advised Alpha Wave Ventures in its acquisition of a 21.74% stake in real estate developer I-Ven Realty Ltd. from Oberoi Realty for INR 1,250 crore.
Advised Keppel Group in the sale of an SPV that owned a grade A office complex located in Chennai to Prime Offices Fund (a JV between Nuvama Asset Management and Cushman & Wakefield).
Advised Morgan Stanley Real Estate Investing (MSREI) in its joint venture with Chennai-based warehousing player Sree Kailas Group to develop a logistics and warehousing park in Oragadam, comprising over one million square feet of Grade A warehousing space.
Multiple transactions involving Sai Lifesciences Limited, including share sale by Tata Capital to TPG, in addition to regular advisory work.
Advised Temasek on its investments into Mahindra Electric Automobile Limited (Mahindra & Mahindra Limited’s subsidiary that manufactures four-wheeler electric automobiles) from 2023 through 2025. Also advised Temasek on investments in UpGrad and Unacademy.
Advised Temasek and the Manipal Group on their acquisition of a majority stake in Sahyadri Hospitals from the Ontario Teachers’ Pension Plan.
Multiple transactions involving Laurus Labs, including investment by Fidelity, and its acquisition of a majority stake in Richcore Lifesciences.
